Terms of service

These Terms govern your use of the Digiclove website at www.digiclove.com, our mobile apps, and all related products and services operated by Digiclove Technologies Pvt. Ltd. ("Digiclove", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, please stop using the Services. We may update these Terms from time to time; the most current version is always at this URL. Continued use after an update means you accept the revised Terms.

1. About Digiclove

Digiclove Technologies Pvt. Ltd. is incorporated in India with its registered office in Hyderabad. We operate an integrated ERP and AI platform spanning Education ERP, HRMS & Payroll, Skora AI (AI grading), and Teach Smart AI (AI co-teacher), delivered through the website, web applications, mobile applications, and APIs (collectively, the "Services").

2. Your account

Some parts of the Services require you to register an account or be enrolled by a customer organisation (such as your school, college, or employer). You agree to:

• Provide accurate, current, and complete information at sign-up.
• Keep your login credentials confidential.
• Be responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorised access or security incident.

If you access the Services through a customer organisation, your use is also subject to their internal policies. Where these Terms conflict with the customer organisation's master services agreement with Digiclove, the master agreement governs the relationship between Digiclove and that organisation.

3. Acceptable use

You agree not to use the Services to:

• Engage in any activity that violates applicable law or regulation;
• Infringe any patent, trademark, copyright, trade secret, or other intellectual property right;
• Transmit, store, or distribute material that is libellous, defamatory, pornographic, profane, obscene, threatening, abusive, hateful, or harassing;
• Send unsolicited bulk email, advertising, or other forms of spam;
• Impersonate any person or entity or misrepresent your affiliation;
• Collect, harvest, or scrape information about other users without their consent;
• Upload viruses, worms, trojans, or other malicious code;
• Interfere with or disrupt the Services, our servers, or any networks connected to them;
• Use the Services to develop a competing product or service.

4. Security rules

You may not, and may not attempt to:

• Access data not intended for you, or log into a server or account you are not authorised to access;
• Probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measure;
• Interfere with service to any user, host, or network — including by submitting malicious code, overloading, flooding, or crash attempts;
• Forge any TCP/IP header or part of any header in any email or message sent through the Services.

Violations of system or network security may result in civil or criminal liability. We may investigate suspected violations and cooperate with law-enforcement authorities to prosecute users involved.

5. Content and intellectual property

All trademarks, service marks, logos, trade names, copyrights, and other intellectual property rights on the Services are owned by Digiclove, our licensors, or our customers (in the case of Customer Data and content uploaded by them).

You may not sell, modify, copy, reproduce, display publicly, perform publicly, distribute, or otherwise use any content on the Services for any public or commercial purpose without our prior written permission.

You retain ownership of any content you upload to the Services. By uploading content, you grant Digiclove a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (for technical purposes such as resizing), and display the content solely to provide and improve the Services to you.

6. Third-party services and links

The Services may contain links to, or integrate with, third-party websites, applications, and services (for example, payment gateways, email and SMS providers, AI model providers, and social media platforms). We are not responsible for the content, privacy practices, or terms of those third parties. Your use of any third-party service is subject to that party's own terms and privacy policy.

7. Fees, billing, and refunds

Fees for paid Services are described on the Pricing page or in your customer agreement with us. Fees are charged in advance for the agreed billing cycle (typically per student per year for Education ERP, per employee per month for HRMS & Payroll, and on a usage basis for Skora AI and Teach Smart AI).

Refund eligibility and processing are described in our Refund policy. Please review it before making a purchase.

8. Disclaimer of warranties

The Services are provided "as is" and "as available". To the maximum extent permitted by applicable law, Digiclove disclaims all warranties, whether express, implied, statutory, or otherwise — including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free; that defects will be corrected; or that the Services or the servers that make them available are free of viruses or other harmful components.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Digiclove, its affiliates, directors, officers, employees, or agents be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Services — whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Digiclove has been advised of the possibility of such damages.

In no event shall Digiclove's total aggregate liability to you for all claims relating to the Services exceed the amount you have paid Digiclove in the twelve (12) months preceding the event giving rise to the claim, or INR 5,000 if you haven't paid us anything.

10. Indemnity

You agree to indemnify, defend, and hold harmless Digiclove and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) your use of the Services, (ii) your breach of these Terms, or (iii) your violation of any law or the rights of any third party.

11. Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, applicable law, or the rights of others; if continuing to provide the Services to you would expose us to legal or financial risk; or if required by a regulatory authority.

You may stop using the Services at any time. Customer-account closure, data export, and data deletion follow the procedure described in your customer agreement and our Privacy policy.

12. Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. The courts at Hyderabad, Telangana shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Services.

13. Changes to these Terms

We may revise these Terms from time to time. The current version is always available at this URL with the "Last updated" date at the top. For material changes, we'll notify registered users by email or a prominent notice on the Services before the changes take effect.

Continued use of the Services after changes take effect means you accept the revised Terms.
